Terms of Service

These Terms govern your use of AgentsAI (the "Service"). The Service is operated by Hades Trading FZE, a company registered in Ajman Free Zone, United Arab Emirates (the "Company", "we", "us"). By creating an account, generating content, calling our API, embedding our widget, or otherwise accessing the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
AgentsAI provides AI tools designed for UAE real estate professionals, including: property listing descriptions; follow-up email and WhatsApp templates; cold-call scripts; CMA reports; property valuation estimates; buyer-persona generation; compliance checking against UAE real-estate norms; contract and invoice templates; an AI assistant available via web chat, WhatsApp Business and our public REST API; document and image analysis features; an optional embeddable chat widget; and team-collaboration tooling (shared CRM, agency profile, brand voice, member quotas).
All AI-generated content is produced by upstream models (currently xAI). Outputs are probabilistic and may contain inaccuracies. You are responsible for reviewing every AI output before sending, publishing, signing, or otherwise relying upon it.
2. Eligibility & account
The Service is a B2B platform intended for licensed UAE real estate brokers, agencies and related professionals aged 18 or older. By creating an account you confirm you meet these criteria and that the information you provide (email, name, agency, phone, RERA/ORN if applicable) is accurate. One person may not maintain multiple free-tier accounts to circumvent quota limits.
3. Plans, fees, billing and VAT
- Free: 5 generations per 4-hour rolling window. No payment required.
- Starter: AED 29 per month or AED 278 per year. 25 generations / 4h.
- Pro: AED 79 per month or AED 758 per year. 75 generations / 4h. Most popular.
- Team: AED 249 per month or AED 2,390 per year. 200 generations / 4h plus up to 10 member seats.
- API access: included with each paid tier (rate-limited per tier). Stand-alone API plans may also be offered.
All prices are quoted in UAE Dirham (AED) and are exclusive of UAE VAT. Where the Company is registered for VAT in the UAE, 5% UAE VAT may be added at checkout in accordance with Federal Decree-Law No. 8 of 2017 on Value Added Tax. A tax invoice will be issued and is available through your account billing portal.
Subscriptions auto-renew on the same plan and cadence at the end of each billing period unless cancelled before renewal. You can manage and cancel your subscription at any time from /account.
4. Refunds and cooling-off
Our refund commitments are set out in full in the Refund Policy which forms part of these Terms. In summary: annual plans carry a 14-day money-back guarantee on the first payment; monthly plans are non-refundable mid-cycle but can be cancelled at any time to stop renewal; renewals after the first 14 days are non-refundable. Promotional discounts (e.g. WELCOME50) apply only to the first paid invoice and are not refundable in cash.
5. Promotional codes
From time to time we issue promotional codes (e.g. WELCOME50). Codes are subject to the conditions printed alongside them (e.g. first-purchase-only, percentage discount on first invoice, maximum redemption count, expiry). Codes have no cash value, are non-transferable, may not be combined with other offers, and may be withdrawn at any time at our discretion. Misuse, multi-account abuse or attempts to redeem an expired/exhausted code may result in the discount being reversed and the account being suspended.
6. Acceptable use
You agree not to use the Service to generate, transmit or publish:
- misleading, fraudulent or inflated property listings;
- content that defames any person, agency, property, brand or community;
- content that violates UAE law including the Cybercrimes Law (Federal Decree-Law No. 34 of 2021), the Media Content Law, RERA / Dubai Land Department regulations, or the Anti-Money-Laundering Law;
- spam, unsolicited bulk messages, scraping campaigns, or anything that breaches the WhatsApp Business Messaging Policy;
- content that contains personal identifiers (Emirates ID numbers, full bank details, passport numbers) of third parties without their consent.
You also agree not to reverse-engineer, resell, sublicense or attempt to clone the Service, including extracting model weights, system prompts or training data via API. Automated traffic must respect documented rate limits.
7. API and widget terms
If you obtain an API key or embed our chat widget on a third-party website, the following additional terms apply: (a) each request counts against your monthly quota; (b) you must keep API keys reasonably secret and rotate them upon suspected compromise; (c) you must not present AI-generated output as human-written when this is misleading to your end-users; (d) the widget displays a small "Powered by AgentsAI" attribution that may be removed only on Enterprise plans; (e) we may rate-limit, suspend or revoke an API key without notice if usage violates these Terms or threatens service stability.
8. AI output — disclaimer and your responsibility
AI-generated content is provided "as-is" for your professional review. We make no warranty that outputs are accurate, complete, current, legally compliant, or fit for a particular purpose. You are solely responsible for any content you publish, send, sign or rely upon. Always verify legal, contractual, regulatory and financial content with a qualified UAE lawyer or licensed adviser before use. Examples of inputs that require qualified human review before reliance include: contracts, MoUs, tenancy agreements, contracts of sale, compliance verdicts, valuations and any communications to regulators.
9. Intellectual property
The Service, our trade marks, software, documentation and visual design are owned by the Company. You retain ownership of the inputs you submit and of the AI outputs generated for you, subject to the licence granted to us in section 10. Nothing in these Terms transfers ownership of our intellectual property to you. The "AgentsAI" name and logo may not be used outside the Service without our written permission.
10. Licence to your content
You grant the Company a worldwide, non-exclusive, royalty-free licence to process your inputs and outputs solely to operate, secure and improve the Service. We do not use your individual inputs to train AI models. Aggregate, anonymised usage data may be used for analytics and product improvement.
11. Privacy and data protection
Our processing of personal data is described in the Privacy Policy, which forms part of these Terms. We act in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL) and applicable implementing regulations.
12. WhatsApp Business communication
The Service uses the WhatsApp Business Platform (Meta Platforms, Inc.) for service messaging, account verification, and limited outreach to publicly listed business contacts of UAE real-estate professionals. By providing a phone number, you consent to receive service, billing and support messages via WhatsApp Business in addition to email. You may opt out at any time by replying STOP in WhatsApp or emailing hello@hades.ae. Our WhatsApp use is governed by the WhatsApp Business Messaging Policy and the WhatsApp Business Solution Terms.
13. Indemnification
You agree to indemnify and hold harmless the Company, its directors, officers, employees and affiliates from any third-party claim, loss, liability, expense or damage (including reasonable legal fees) arising from (a) your use of the Service in breach of these Terms; (b) any AI output you publish, send or rely upon; (c) your breach of UAE law in connection with the Service; or (d) any content, listing, contract, communication or transaction you produce using the Service.
14. Limitation of liability
To the maximum extent permitted by UAE law, the Company's total aggregate liability arising out of or relating to the Service is limited to the greater of (i) the total fees you paid us in the 12 months preceding the event giving rise to the claim, or (ii) AED 500. We are not liable for indirect, consequential, exemplary, incidental, special or punitive damages, including lost profits, lost revenue, lost data or lost opportunities. Nothing in these Terms limits liability that cannot lawfully be excluded under UAE law.
15. Service availability and changes
We aim for 99.5% uptime but do not warrant uninterrupted, error-free or secure operation. We may add, modify, suspend or discontinue features at any time, including discontinuing free tiers, changing prices on renewal with at least 30 days' notice, or removing tools no longer supported. Material changes will be notified by email and/or in-app announcement.
16. Suspension and termination
We may suspend or terminate your account with or without notice if you (a) breach these Terms; (b) misuse the Service; (c) initiate a payment dispute without first contacting us; or (d) we are required to do so by law. You may close your account at any time from the account page. On termination, your right to use the Service ends immediately; data is retained per our Privacy Policy and applicable law.
17. Force majeure
Neither party is liable for delays or failures caused by events outside reasonable control, including acts of God, war, terrorism, civil unrest, government action, internet/infrastructure failures, third-party service outages (including Stripe, Meta/WhatsApp, xAI), pandemics or natural disasters.
18. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of the United Arab Emirates, including federal laws and the laws of the Emirate of Ajman where the Company is registered. The courts of Ajman (and where applicable, the Ajman Free Zone) have exclusive jurisdiction, subject to any mandatory UAE consumer-protection provisions that grant the user the right to bring proceedings in their place of residence within the UAE.
For consumer disputes that we cannot resolve directly, you may also contact the UAE Ministry of Economy's Consumer Protection Department (consumerrights.ae) under Federal Decree-Law No. 15 of 2020 on Consumer Protection.
